1. Agreement to Terms

By accessing or using the WayaNerd website and services, you agree to be bound by these Terms of Service. If you do not agree with any part of these terms, you may not access our website or use our services.

2. Services

WayaNerd provides AI-powered business solutions including, but not limited to, AI customer support, employee training, workflow automation, strategy consulting, and custom AI development. The specific scope, deliverables, and terms for each engagement will be defined in a separate service agreement or statement of work.

3. Intellectual Property

The WayaNerd website, brand, and proprietary tools are owned by WayaNerd and protected by intellectual property laws. You may not reproduce, distribute, or create derivative works without our written permission.

For custom AI development projects, unless otherwise specified in your service agreement, all custom models, training data derivatives, and project deliverables are owned by you, the client. WayaNerd retains rights to its pre-existing tools, frameworks, and methodologies.

4. Client Responsibilities

  • Provide accurate and complete information necessary for service delivery
  • Ensure you have the legal right to share any data provided to WayaNerd for AI training or processing
  • Maintain appropriate security measures for credentials and access to AI systems we deploy
  • Use our AI solutions in compliance with applicable laws and regulations
  • Notify us promptly of any security incidents or unauthorized access

5. AI-Specific Terms

  • AI outputs are generated by machine learning models and should be reviewed by qualified personnel before being used for critical business decisions.
  • WayaNerd does not guarantee specific accuracy rates, though we work continuously to optimize model performance.
  • You are responsible for the final use and deployment of AI outputs in your business operations.
  • We comply with applicable AI regulations and ethical guidelines in all our service deliveries.

6. Payment Terms

Payment terms, pricing, and billing schedules are defined in your individual service agreement. All fees are non-refundable unless otherwise stated in your agreement. We reserve the right to modify pricing for future engagements with 30 days notice.

7. Limitation of Liability

To the maximum extent permitted by law, WayaNerd shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services. Our total liability shall not exceed the fees paid by you in the twelve months preceding the claim.

8. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the course of our engagement. This obligation survives the termination of any service agreement.

9. Termination

Either party may terminate a service engagement as outlined in the applicable service agreement. Upon termination, we will provide you with all project deliverables completed to date and assist with transition as reasonably necessary.

10. Changes to Terms

We reserve the right to update these Terms of Service at any time. Material changes will be communicated through our website. Your continued use of our services after changes are posted constitutes acceptance of the updated terms.
